The Company operates as a sole proprietor based in the Hong Kong Special Administrative Region (HKSAR) and provides B2B digital resources globally.

By accessing the Site or purchasing any digital products, you acknowledge that you are acting in a professional/business capacity, have read, understood, and unconditionally agreed to be bound by these Terms.

1. Nature of Services and Digital Products

Batteryfiles provides highly specialised, downloadable technical files, BMS configuration logs, and firmware data (the “Digital Products”).

  • Data Only: We sell raw technical data and digital files only.
  • No Technical Support: Unless explicitly stated otherwise on the product page, your purchase does not include consulting services, installation assistance, system debugging, or technical support.

2. Digital Product Sales & Strict No-Refund Policy

Due to the irrevocable and easily replicable nature of digital downloads, all sales are final.

  • By completing a purchase, you acknowledge that you waive your right to a cooling-off period.
  • No Refunds: Once a download link has been provided or the digital file has been accessed, no refunds, returns, or exchanges will be issued under any circumstances.
  • Chargeback Policy: Any fraudulent chargebacks or payment disputes filed via Stripe, PayPal, or your credit card issuer after the digital file has been accessed will be aggressively contested using your IP address, download logs, and timestamped consent records as evidence.

3. High-Risk Application Disclaimer (Crucial)

You acknowledge that working with battery cells, Battery Management Systems (BMS), and high-voltage electrical components carries inherent and extreme risks, including but not limited to electrical shock, fire, explosion, property damage, and severe injury or death.

  • “As-Is” Provision: All Digital Products, testing logs, and parameters are provided strictly on an “as-is” and “as-available” basis, without warranties of any kind, express or implied.
  • User Responsibility: You are solely responsible for independently verifying any specifications, hex values, or testing data before applying them to physical hardware. We do not warrant that the data is error-free or suitable for your specific engineering application.

4. Limitation of Liability

To the fullest extent permitted by applicable law, Batteryfiles (and its proprietor) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or the application of our Digital Products. This includes, but is not limited to, hardware damage, loss of data, loss of revenue, or catastrophic system failure, even if we have been advised of the possibility of such damages.

5. Intellectual Property and Licensing

All proprietary original content, platform software, and curated database structures on the Site remain the exclusive intellectual property of Batteryfiles.

  • When you purchase a Digital Product, you are granted a limited, non-exclusive, non-transferable license to use the files for your internal research, engineering, or business operations.
  • You are strictly prohibited from reselling, redistributing, publicly sharing, or repackaging our Digital Products for commercial resale.

6. User Accounts and Security

If you create an account to manage your downloads, you are responsible for maintaining the confidentiality of your login credentials. We reserve the right to suspend or terminate any account that violates these Terms or engages in unauthorised sharing of paid download links.

7. Global Business and Governing Law

As a platform serving a global engineering community, these Terms apply regardless of your geographic location. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the HKSAR.
